STOCKHOLM, Sweden, April 17, 2003 (PRIMEZONE) -- The Annual General Meeting of Cloetta Fazer AB on Wednesday, 16 April 2003, approved the Board's proposed dividend of SEK 5 per share (previous year SEK 4 and a bonus of SEK 1). The total amount to be paid in dividends is MSEK 120.6. The dividend is expected to be distributed by VPC on 28 April 2003.
Bengt Baron, Wilhelm Luning and Meg Tiveus were elected as new Board members, while sitting Board members Kurth Augustson, Lennart Bylock and Ulf Laurin resigned from the Board. The other Board members and deputy members were re-elected by the AGM.
In his address to the meeting, Managing Director Karsten Slotte commented on operations in 2002 and the Group's development during the first quarter of 2003.
At the statutory meeting following the AGM, Anders Dreijer was elected as Chairman of the Board and Olof Svenfelt as Deputy Chairman.
The principal shareholders, Oy Karl Fazer Ab and AB Malfors Promotor, have together appointed a nomination committee consisting of Anders Dreijer and Olof Svenfelt to select candidates for election to the Board members and auditors. The Board has decided to form a remuneration committee composed of Anders Dreijer, Meg Tiveus and Wilhelm Luning, as well as an audit committee made up of Anders Dreijer, Berndt Brunow and Olof Svenfelt.
The interim report for the period January - June 2003 will be published on 14 August 2003.
