The company feels this is because the exchange expected the company to file a one time transitional Form10-QSB for the quarter ended June 30, 2003. The company believes that it is exempt from filing this transitional Form 10-QSB.
As a result of the company's recent reorganization, the company's fiscal year end has changed from December 31 to June 30. The company filed Form 8K12g3 on May 15, 2003, informing the SEC of its election to change the fiscal year end to June 30, 2003.
With the fiscal year end having been changed to June 30, the company intends to file a Form 10-KSB for the fiscal year ended June 30, 2003 -- thus obviating the need for filing a 10-QSB for the same period. This Form 10-KSB is due on September 30, 2003 and will include full audited financials, and any required transitional reports.
The company's corporate counsel has again reviewed the SEC rules relating to transitional reports for fiscal year end changes, and remains confident that a transitional Form 10-QSB is not required for the quarter ended June 30, 2003.
The company's corporate counsel is contacting the OTCBB and expects to have confirmation and resolution on this matter shortly.
