ZUG, Switzerland, Sept. 28, 2004 (PRIMEZONE) -- Converium Holding AG (the "Company") announces that its proposed capital increase has been underwritten by a syndicate of banks for an amount of CHF 533 million (approximately US$ 420 million).
Shareholders will be asked to approve the increase of the share capital by CHF 533,416,225 through the issuance of 106,683,245 fully paid registered shares with a nominal value of CHF 5.00 each at an issue price of CHF 5.00 per share (subscription ratio: 8:3) at an Extraordinary General Meeting to be held at 2.30pm CET today.
Shareholders will also be asked to approve a reduction of the nominal value from CHF 10 per share by CHF 5 to CHF 5 per share and to book the amount of the nominal value reduction of CHF 200,031,085 as general reserves of the Company.
The banks have agreed to underwrite the new shares at the issue price of CHF 5.00 per share and to offer the new shares at this price to the shareholders, representing a 74.4% discount to the closing share price of CHF 19.55 on September 27, 2004, subject to customary conditions.
The subscription period for the rights issue is expected to begin next week.
