CHULA VISTA, Calif., Feb. 8, 2005 (PRIMEZONE) -- Alpha Nutra, Inc. (Pink Sheets:APNA) (also referred to as the "Company") (formerly known as Alpha Nutraceuticals, Inc. on the Pink Sheets as ANUI), a vertically integrated nutraceutical, food and dietary supplement and cosmeceutical company began trading today under the symbol APNA.
In August of 2004, the Company engaged Business Consulting Group Unlimited, Inc. ("BCGU"), a Southern California based merchant banking firm, to perform various restructuring and advisory services for the Company, including legal services related to making the Company a fully reporting, publicly trading entity. Effective December 14, 2004, the Company was re-domiciled from the State of California to the State of Nevada. On January 17, 2005, a majority of the Company Board of Directors voted to reverse split the Company's common shares by issuing one (1) Company common share for every 45 common shares held prior to the reverse split. Additionally, on January 27, 2005, the Company's name was formally changed to Alpha Nutra, Inc. from Alpha Nutraceuticals, Inc.
Company shareholders should also know that the Company's auditors, Armando C. Ibarra, CPA ("Ibarra"), have begun the Company's 2004 audit. Ibarra, along with BCGU are in the process of completing a review of the Company's 2004 SEC filings. BCGU hopes that, immediately subsequent to receiving the 2004 audit report, it will be able to file amended quarterly reports for 2004 (if necessary) and the Company's fiscal 2004 Form 10-K. It is anticipated that the Form 10-K will detail additional restructuring efforts, including various debt resolutions, equity acquisitions (and related equity acquisition rescissions), bridge financing commitments and equity issuances.
