OMX The Nordic Stock Exchange, Copenhagen 14 March 2008 Release #6 Exercise of warrants - increase of NKT Group share capital Following requests from a number of personnel to exercise their warrants from the share option programmes issued in 2005, the share capital of NKT Holding will be increased by the issue of 17,599 shares of a nominal value of 20 DKK each. The share capital will thus be increased by a total nominal amount of 351,980 DKK. The shares will be subscribed for based on warrants issued in 2005, as detailed in NKT's Stock Exchange Release No. 3 dated 6 January 2005. The subscription price will be 167.8 DKK per nominal 20 DKK share. Following the increase in share capital, NKT's registered share capital will comprise a total of 23,655,154 NKT shares of a nominal value of 20 DKK, corresponding to a total nominal share capital of 473,103,080 DKK. The increase in share capital will be registered in Article 3 of NKT's Articles of Association. Consequences The new shares will convey right to dividend as from the date of registration with The Danish Commerce and Companies Agency. As registration will take place before NKT's annual general meeting on 10 April 2008 this means the shares will convey right to dividend for the 2007 financial year. The amount proposed as dividend by NKT's Board of Directors for approval at the annual general meeting will thus be increased from 260,013,105 DKK to 260,206,694 DKK. The increase in capital described above will not affect the NKT Group's forecast profits for 2008. Exercise of further warrants The increase in share capital described above represents exercise of 16.4% of the warrants available for exercise by NKT's employees during the current exercise period ending on 15 April 2008. It is therefore considered that in the very near future it will be relevant to implement a further increase of NKT's share capital as a result of potential exercise of the 89,539 warrants still outstanding from 2003, 2004 and 2005.
