Treasury shares and list of major shareholders
At the company's annual general meeting held on April 16, 2008, the
shareholders approved a proposal to issue bonus shares to the existing
shareholders at a ratio of one new share for every share held, and to merge
Schouw & Co. and BioMar Holding with the former as the continuing company.
After closing of the two transactions, we hereby provide the following
information pursuant to sections 28 and 29 of the Danish Securities Trading Act:
The Company's share capital consists of 28,000,000 shares of DKK 10 nominal
value each equal to a share capital with a total nominal value of DKK
280,000,000.
The company holds 1,215,642 treasury shares, equal to 4.34% of the share
capital.
The company's other major shareholders are:
Givesco A/S 7,163,950 shares, equal to 25.59%
Direktør Svend Hornsylds Legat 3,778,980 shares, equal to 13.50%
ATP pension fund 2,518,385 shares, equal to 8.99%
The three shareholders Givesco A/S, Direktør Svend Hornsylds Legat and Erling
Eskildsen, which pursuant to the provisions of Section 31 of the Securities
Trading Act are considered as a single shareholder of Schouw & Co., hold in
aggregate 11,947,392 shares, equal to 42.67% of the company's share capital.
