The international financial crisis that followed the sub-prime mortgage
crisis was an extraordinarily difficult environment for German property
companies in 2008, and one that GWB Immobilien AG was unable to evade. One
consequence of this trend was that contrary to expectations and in spite of
the company’s most intensive endeavours in financial year 2008 it was no
longer able to sell portfolio property as planned by the end of the
financial year. In these cases either contracting parties were unable to
raise the binding funding commitment required or negotiating partners
pulled out of the talks.

The failure to sell portfolio property has exercised a negative effect on
the company’s results for the financial year 2008 based on the provisions
of the German Commercial Code (HGB). Contrary to its original intention,
GWB Immobilien AG will therefore be unable this year to pay shareholders a
dividend for 2008 as per HGB.
