The Supervisory Council of AS Norma issued an opinion on the offer from Autoliv

(Tallinn, 2010-03-24) - - - The Supervisory Council of AS Norma today decided
to issue an opinion on the offer from the Autoliv group to acquire all
outstanding shares in AS Norma. After considering the relevant facts, the
Council concluded that in light of the current trends in the highly competitive
global automotive industry, a full integration of Norma's operations with
Autoliv may improve Norma's ability to develop a strong and sustainable market
position in the European automotive subsystem- and components business. 

In a comment to the opinion, the Council explained:
Norma's current business is highly dependent on Russia and Autoliv group. Based
on CSM and other market institutes, Norma's Russian business is not expected,
in several years, to reach the levels before the crisis. In addition, Norma's
main customer, Autovaz, has formed an alliance with Renault. This means that
new Autovaz business probably will be part of global contracts, where Norma can
be more successful if fully integrated with the global leader in automotive
safety, Autoliv group. Furthermore, also for its second largest business -
seatbelts for Volvo - Norma is already highly dependent on Autoliv group. 
 
To take advantage of Norma's unique engineering and manufacturing expertise,
the Norma has begun to invest and expand as a supplier of engineered components
for the European automotive industry. The most recent example of this strategy
is the EEK50 million plant currently under construction in Tallinn. As part of
its offer, Autoliv group has declared its intention to support and to
accelerate Norma's growth in this business area. 

The Supervisory Council of Norma therefore concluded that a full integration
with Autoliv is in the best interest of Norma and its employees.
