Aldata Solution Oyj STOCK EXCHANGE RELEASE 6 October 2011 at 1.45 p.m. (EET) ALDATA SOLUTION OYJ: REDEMPTION NOTIFICATION AND CLAIM UNDER CHAPTER 18 OF THE FINNISH COMPANIES ACT Aldata Solution Oyj has today received the following notice: Symphony Technology II-A, L.P. (Symphony) holds more than nine tenths (9/10) of all the shares and votes in Aldata Solution Oyj (Aldata). As a consequence of exceeding the relevant threshold, Symphony has the right, based on Chapter 18, Section 1 of the Companies Act, to redeem the shares held by other Aldata shareholders at fair value. Symphony's current holding in Aldata is 61,967,178 shares corresponding to approximately 90.1 per cent of all the shares and votes in Aldata. Symphony has decided to exercise its redemption right under the Companies Act and to redeem all the shares held by any other remaining shareholders in Aldata (the Shares and each of them separately, a Share). Symphony's redemption claim based on the redemption right is substantially as follows: __________________________________________________________________________ Redemption Price of the Shares The redemption price for the Shares is EUR 0.61 per Share (Redemption Price). The Redemption Price is the same price as the consideration paid by Symphony in the mandatory public tender offer for all the issued and outstanding shares and option rights in Aldata announced on 26 July 2011 (Tender Offer). Through the Tender Offer and share transactions concluded in connection therewith, Symphony has increased its ownership to 90.1 per cent of all the shares in Aldata, and thus exceeded the nine tenths (9/10) threshold of all the shares and votes in Aldata. As the redemption of the Shares has been preceded by a mandatory public tender offer in accordance with the Finnish Securities Market Act, the Redemption Price of EUR 0.61 per Share shall be considered as the fair value of the Shares in accordance with the Finnish Companies Act.
