In conformity with the Disclosure and Transparency Rule 5.6.1, Downing Planned Exit VCT 3 plc announces the following:
The Company's capital at 31 May 2012 consisted of:
10,064,617 Ordinary Shares of 1p each;
7,173,376 C Shares of 0.1p each;
10,760,064 A Shares 0.1p each (which are non-voting);
9,994,109 D Shares of 0.1p each;
14,994,862 E Shares of 0.1p each (which are non-voting); and
8,742,747 F Shares of 0.1p each.
The Company does not hold any shares in treasury.
Therefore, the total number of voting rights in Downing Planned Exit VCT 3 plc is 35,974,849.
The above takes account of any shares that have been recently bought back for cancellation, even if such transactions have not yet settled.
The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Downing Planned Exit VCT 3 plc under the FSA's Disclosure and Transparency Rules.
