Ordinary general meeting held 30 August 2012


 

We can inform that egetæpper’s annual report as per 30 April 2012 was adopted at the company’s ordinary general meeting today, as well as payment of 30% dividend was accepted.

Board member Mr. Egon Damgaard resigned due to his age, in accordance with the company’s articles of association.

Mr. Knud Damgaard, laywer, was elected to the company’s board. Mr. Knud Damgaard is 66 years old and son of the founder of egetæpper, Mads Eg Damgaard. He has run his own law firm in Rønne for a number of years and has been member of the board of Mads Eg Damgaards Familiefond since 1990.

The other board members were re-elected, and KPMG Statsautoriseret Revisionspartnerselskab was re-elected as company auditors.

As to item 7 on the agenda concerning the Board’s proposal for discussion of the company’s stock exchange announcement of 7 August 2012 about

  1. Split of shares
  2. Cancellation of own shares
  3. Authorisation to emission for growth through acquisition
  4. Profit policy

it was decided to deal with items 1-3) on an extraordinary general meeting in the autumn of 2012.

In addition, the board of directors was empowered to acquire further own shares up to nominal DKK 5,000,000.oo at current market price +/- 10%

Authority was given for the period until next year’s ordinary general meeting.
