JM AB’s Nomination Committee for Annual General Meeting 2013


JM AB's Annual General Meeting resolved on April 26, 2012 to appoint the members
of the Nomination Committee for Annual General Meeting 2013 on August 31, 2012.
The Committee will consist of representatives from the four largest
shareholders/shareholder groups in the company, in terms of voting rights, that
want to be on the Nomination Committee. The Chairperson of the Board of
Directors will be the Nomination Committee's fifth member.
The shareholders mentioned above represent in total around 34 percent of the
shares and votes in the company. They have appointed the following
representatives:

  · AMF Pension: Lars-Åke Bokenberger, who also has been appointed Chairperson
of the Nomination Committee
  · Swedbank Robur fonder: Björn Franzon
  · Nordea Fonder: Jan Särlvik
  · AFA Försäkring: Anders Algotsson
  · Lars Lundquist, Chairperson of the Board of JM AB.

The Nomination Committee will prepare and present proposals to the Annual
General Meeting for:

  · Chairperson at the AGM
  · Number of Directors
  · Chairperson and other Directors on the company’s Board
  · fees, distributed among the Chairperson, Board Directors and reimbursement
for Committee work
  · auditors and their fees, and
  · where applicable, amendment of instructions for the Nomination Committee.

The Nomination Committee will otherwise perform the duties specified in the
“Swedish Code of Corporate Governance" that applies at any given time and is
issued by the Swedish Corporate Governance Board.

JM AB's Annual General Meeting will be held on Thursday, April 25, 2013, at the
company's head office in Solna.
