Regulated information - Ageas announces an Extraordinary General Meeting of Shareholders


The Extraordinary General Meeting of Shareholders of ageas SA/NV will be held in Ageas's premises, rue du Marquis/Markiesstraat, 1 in Brussels on 4 September 2013 at 10:30.

With respect to this Meeting, the following documents will be published on the Ageas website, www.ageas.com (Investor relations, General meetings of shareholders):

  • The convocation, including the agenda of the Meeting:
    • Amendments to the Articles of Association
      • A first reduction of capital, cancellation of ageas SA/NV shares
      • A second reduction of capital, by means of reimbursement to shareholders resulting in the distribution of EUR 1.00 per share[1].
    • Board of Directors - Appointments.
       
  • The specimen proxy form.

Based on past experience, this Meeting will not attain the required attendance quorum - i.e. that at least 50% of the capital must be represented - and thus this Meeting will not be able to decide validly.
Official information on this will be published on 30 August 2013 together with an invitation to a new Extraordinary General Meeting of Shareholders of ageas SA/NV to be held on Monday 16 September 2013 14:30 at AG Insurance, rue du Pont Neuf/Nieuwbrug, 17 in Brussels.

            Gazette on 1 October 2013 at the latest; and
