Aarhus, 2014-01-08 16:03 CET (GLOBE NEWSWIRE) -- In accourdance with section 29 of the Danish Securities Trading Act, Trifork hereby announces that it has been informed that Blackbird Holding ApS and Kresten Krab Thorup Holding has traded there shares in Trifork A/S - and that Trifork Holding AG now is a new major shareholder in Trifork.
Kresten Krab Thorup Holding ApS has contributed in kind all its Trifork A/S shares in connection with the founding of Trifork Holding AG.
Jørn Larsen has contributed in kind all shares in Blackbird Holding ApS in connection with the founding of Trifork Holding AG. Subsequently, Blackbird Holding ApS has distributed all of its Trifork shares as dividend to Trifork Holding AG.
Neither Blackbird Holding ApS or Kresten Krab Thorup Holding ApS therefore appears as major shareholders in Trifork A/S.
Trifork Holding AG at the same time has announced acquiring additional 2,320,117 shares (12.89%) received as contribution in kind from 5 other investors in connection with the founding of Trifork Holding AG.
Before the transactions the shareholders with more than 5% ownership was:
- Blackbird Holding ApS: 31.95%
- Kresten Krab Thorup Holding ApS: 22.02%
Following the transactions, the shareholders with more than 5% ownership in Trifork is:
- Trifork Holding AG: 66.87%
