SCOTTSDALE, Ariz., June 30, 2014 (GLOBE NEWSWIRE) -- AV Homes, Inc. (Nasdaq:AVHI) ("AV Homes" or the "Company") announced today that it has closed its previously announced private offering of $200 million of 8.500% Senior Notes due 2019 (the "Notes"). As previously announced, the Notes were priced to investors at 100.000% of their principal amount.
The Company intends to use the proceeds from this offering for general corporate purposes, which may include land purchases, land development and financing homebuilding and acquisitions.
The notes and related guarantees were sold to qualified institutional buyers in reliance on the exemption from registration set forth in Rule 144A under the Securities Act, and outside the United States, to non-U.S. persons in reliance on the exemption from registration set forth in Regulation S under the Securities Act. The notes and the related guarantees have not been registered under the Securities Act or the securities laws of any other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption from such registration requirements.
