Supplementary Prospectus

Downing THREE VCT plc (the "Company") announces that it published a second supplementary prospectus on 27 August 2015 in connection with the Offer for Subscription that opened on 11 December 2014 ("Second Supplementary Prospectus").
The Second Supplementary Prospectus has been published as a result of the announcement of proposed changes to the VCT Rules in the Finance Bill on 15 July 2015.
The Second Supplementary Prospectus has been approved by the UK Listing Authority and will shortly be available to view at the online viewing facility of the National Storage Mechanism at the following address: http://www.morningstar.co.uk/uk/NSM.
