EXTRAORDINARY EVENT
In a bulletin dated 15 September 2015 Sky PLC announced that the full acquisition of Sky Deutschland AG had been completed. In accordance with the requirements of German law Sky Deutschland AG was shortly thereafter delisted from the Frankfurt Stock Exchange.
In the Issuer’s opinion, the delisting of Sky Deutschland AG constitutes an Extraordinary Event pursuant to terms and conditions of the Notes set forth in the Base Prospectus dated 30 April 2013, as supplemented, and the Final Terms dated 15 November 2013.
Upon the occurrence of an Extraordinary Event the Issuer is entitled to make such adjustments in the calculation of the Redemption Amount, Interest Amount and/or compilation of Reference Assets, or to replace the Affected Reference Asset with a Replacement Reference Asset which the Issuer thereby deems necessary in order to achieve a calculation of the Redemption Amount which reflects, and is based on, the manner in which such was previously calculated.
As a result of the Extraordinary Event the Issuer has decided to replace the Affected Reference Asset Sky Deutschland AG (Bloomberg code: SKYD GY Equity) with the Replacement Reference Asset SKY PLC (Bloomberg code: SKY LN Equity). The Initial Price of the Replacement Reference Asset Sky PLC has been determined to 11.623142.
