SINGAPORE -- NOVEMBER 9, 2015, UNITED STATES--(Marketwired - Nov 9, 2015) - STATS ChipPAC Ltd. ("STATS ChipPAC" or the "Company") (SGX-ST: STATSChP) (SGX: S24), a leading semiconductor test and advanced packaging service provider, wishes to announce that the Company intends to, subject to market conditions and other factors, commence an offering of new senior secured notes (the "New Notes").
The New Notes are expected to pay interest semi-annually, constitute senior, secured obligations of the Company and be guaranteed by all of the Company's subsidiaries (except subsidiaries incorporated in the People's Republic of China and Thailand). The New Notes and the guarantees by the subsidiary guarantors are expected to be secured, subject to certain permitted liens, on an equal and rateable basis with certain senior debt and certain future additional pari passu debt of the Company by first priority liens over shares of certain of the Company's subsidiaries and certain of the Company's and its subsidiaries' assets.
The Company intends to use the net proceeds from the issuance of the New Notes to repay its outstanding debt, including borrowings under the Company's $890 million bridge loan facility, entered into on 6 August 2015.
The Company intends to make an application to the Singapore Exchange Securities Trading Limited (the "SGX-ST") for the listing and quotation of the New Notes on the SGX-ST.
