egetæpper a/s has Monday, February 4, 2019 received the following major shareholder notification from Carpet Holding A/S:
"In accordance with sections 38 and 39 of the Capital Markets Act, statutory instrument 2017-10-31 no. 1172 on Major Shareholders and section 55 of the Danish Companies Act, Carpet Holding A/S, company registration no. 40 22 91 67, has notified that Carpet Holding A/S has acquired a nominal amount of DKK 3,303,400 A shares and nominally DKK 22,016,060 B shares in egetæpper a/s via a non-cash contribution corresponding to 96.60 % of the company’s share capital and 98.41 % of the total number of voting rights in egetæpper a/s.
Carpet Holding A/S is owned by MEDF Holding A/S, company registration no. 36 93 76 61, which owns 38.65 % of the capital and 71.25 % of the votes and Carpet Invest A/S, company registration no. 39 99 56 70, which owns 32.21 % of the capital and 15.10 % of the votes. Both MEDF Holding A/S and Carpet Invest A/S are ultimately 100 % owned by Mads Eg Damgaards Familiefond, company registration no. 82 15 87 15.
The remaining shares of Carpet Holding A/S are owned by ege fonden – Vibeke og Mads Eg Damgaards Fond, company registration no 19 99 13 93, which owns 29.14 % of the capital and 13.65 % of the votes.
MEDF Holding A/S, Carpet Invest A/S and ege fonden – Vibeke og Mads Eg Damgaards fond at the same time give notice that they no longer directly own shares in egetæpper a/s.
There has at the non-cash contribution of the above mentioned companies’ shares in egetæpper a/s been no shift in the ultimative ownership and control relationship in egetæpper a/s."
