(Nasdaq: USIO), an integrated electronic payment solutions provider, today announced that it has commenced an underwritten public offering of its common stock. All shares of common stock to be sold in the offering will be offered by Usio. Usio expects to grant to the underwriters a 45-day option to purchase up to an additional 15% of the shares of common stock offered in the public offering to cover overallotments, if any. The offering is subject to market and other conditions, and there can be no assurances as to whether or when the offering may be completed, or as to the actual size or terms of the offering.
Usio intends to use the net proceeds from the offering for working capital and general corporate purposes, including investments in our growth businesses and acquisitions.
Ladenburg Thalmann & Co. Inc. is acting as sole book-running manager in connection with the offering. Barrington Research Associates, Inc. is acting as co-manager in the offering.
