CHICAGO, Aug. 03, 2022 (GLOBE NEWSWIRE) -- SP Plus Corporation (Nasdaq:SP), a leading provider of technology-driven mobility solutions for aviation, commercial, hospitality and institutional clients throughout North America, today announced its second quarter 2022 results.
Management Commentary
Marc Baumann, Chairman and Chief Executive Officer, said, “This was another quarter of significant growth and increased profitability for SP+. We continue to gain market share and expand our reach through a combination of scale benefits, high service levels, and technology solutions that differentiate SP+. Our new business wins are tracking ahead of 2019, which we believe demonstrates the strength of our competitive positioning. Net new additions in our Commercial segment reached 107 locations on a trailing twelve-month basis, and we are now providing services at 77 airports, the largest number in our history.
“In the second quarter, our Commercial segment gross profit benefited from increased parking and transportation activity at existing locations and the addition of new locations primarily in the office building, commercial and hospitality verticals. Importantly, we were able to increase Commercial segment adjusted gross profit by 27% year-on-year and 18% from pre-pandemic 2019 levels with a portfolio heavily skewed toward management contracts, which we believe provides greater visibility and resilience in a dynamic economic environment.
“In our Aviation segment, second quarter adjusted gross profit increased 26% year-on-year due to new airport contract wins and the expansion of our services at existing facilities. As travel activity continues to increase, we expect the demand for our suite of services will provide SP+ with additional growth opportunities, particularly because our solutions help address the congestion and related challenges that airports and airlines face.
“Ongoing investments in technology and innovative client-centric solutions have resulted in a step-change in the value proposition SP+ offers, increasing our competitive advantage and making us a more valuable partner. Our solutions are aligned with consumer preferences for frictionless, technology-enabled mobility, strengthening our clients’ competitiveness and providing SP+ with an expanded addressable market.”

Second Quarter Operating Results
Second quarter 2022 reported gross profit of $56.1 million increased 29% from the second quarter of 2021. Excluding depreciation, amortization, restructuring and other costs, adjusted gross profit was $58.8 million, representing a 27% growth from $46.4 million in the comparable quarter of 2021, reflecting the Company’s ability to differentiate itself to win new contracts and improve performance at same locations as the business environment continues to recover.
Reported general and administrative (“G&A”) expenses were $26.7 million in the second quarter of 2022, compared to $22.0 million in the second quarter of 2021. Excluding restructuring and other costs, adjusted G&A expenses for the second quarter of 2022 were $26.3 million, compared to $21.8 million in the comparable quarter of 2021, mainly due to higher performance-based compensation and investments in business development, technology and other resources. While adjusted G&A increased 21% year-over-year, adjusted G&A in the second quarter of 2022 was still approximately 4% below the second quarter of 2019, reflecting savings from permanent cost reduction initiatives over the past two years, which the Company has reinvested in initiatives to support growth.
Second quarter 2022 reported net income attributable to SP Plus was $15.4 million, or $0.72 per share, representing an increase of 71% from second quarter 2021 net income of $9.0 million, or $0.42 per share. Excluding the aforementioned costs, second quarter 2022 adjusted earnings per share were $0.81, compared to $0.49 for the second quarter of 2021.
Year-to-date cash flow from operations of $35.7 million and free cash flow of $25.5 million included, as expected, the receipt of a $20.5 million federal income tax refund. Excluding this refund, cash flow from operations and free cash flow in 2022 was lower than the $23.3 million and $17.1 million, respectively, generated in the first six months of 2021 due to higher cash tax payments and capital expenditures primarily related to technology investments, in addition to certain working capital investments to support increased business activity.

Mr. Baumann concluded, “We are very pleased with our strong first half performance. The positive business momentum we experienced throughout the second quarter has continued into the second half of the year. As a result, we are raising our full-year outlook and now expect key profitability metrics for full-year 2022, including Adjusted EPS and EBITDA, to exceed 2019 levels, which was a record year for our company.
“Our operating model combines a well-trained and service-focused workforce and an industry-leading suite of technology solutions under the Sphere umbrella to deliver world-class service and innovative solutions that address the complex problems faced by our diverse client base. We believe these attributes have strengthened our market leadership position and have put us on a higher growth trajectory than we experienced pre-pandemic, with additional upside from our reduced cost structure. With strong free cash flow and our expanded credit facility, SP+ has the financial resources to drive organic growth and to continue to invest in people and technology, which we expect will enable us to capture growth opportunities on the horizon. Additionally, we have the financial flexibility to consider strategic acquisitions and to return capital to shareholders, including through stock repurchases. Since we announced a $60 million share repurchase authorization in mid-May of this year, we have purchased $12.7 million of SP+ shares, a strong indication of the confidence we have in our Company’s future prospects.”

Use of Non-GAAP Financial Measures
To supplement its consolidated financial statements presented in accordance with U.S. GAAP, the Company considers certain financial measures that are not prepared in accordance with U.S. GAAP. Certain non-GAAP measures, such as adjusted gross profit, adjusted general and administrative expenses (adjusted G&A), adjusted operating income, adjusted net income attributable to SP Plus (adjusted net income), adjusted net income per share attributable to SP Plus (adjusted EPS), and adjusted EBITDA exclude items that management does not consider indicative of its core performance. Such adjustments include, among other things: (i) restructuring and other costs; (ii) impairment charges; (iii) non-routine settlements; (iv) the amortization of acquired intangible assets; (v) the impact of non-routine asset sales or dispositions; (vi) the net loss or gains and the financial results related to sold businesses; (vii) gain/loss on termination of joint ventures or sale of other investments; (viii) non-routine tax items; and (ix) with respect to adjusted gross profit, depreciation and amortization expense. Pre-tax adjustments are tax affected at a statutory tax rate of 27% for adjusted net income and adjusted EPS purposes.
The Company defines Adjusted EBITDA, a non-GAAP financial measure, as U.S. GAAP net income attributable to the Company before (i) interest expense net of interest income, (ii) provision (benefit) for income taxes, (iii) depreciation and amortization, (iv) gain on sale of a business or contribution of a business to an unconsolidated entity, (v) gain/loss on termination of joint ventures or sale of other investments, and (vi) other items that management does not consider indicative of its core performance, as defined per above. The Company believes that the presentation of adjusted EBITDA provides useful information regarding the Company’s operating performance and are useful measures to facilitate comparisons to our historical and future operating results. The Company's definition of adjusted EBITDA may not be comparable to similarly titled measures presented by other companies.
The Company defines free cash flow as net cash provided by (used in) operating activities, less cash used for investing activities (exclusive of cash used for acquisitions or the purchase of intangible assets and net after-tax cash proceeds from the sale of businesses or joint venture related assets), less distributions to non-controlling interests, plus the effect of exchange rate changes on cash and cash equivalents. The Company believes that the presentation of free cash flow provides useful information regarding its ability to generate cash flow from business operations after funding capital expenditures, that can be used to, among other things, repay debt, fund strategic acquisitions, and return value to shareholders. The Company's definition of free cash flow may not be comparable to similarly titled measures presented by other companies.
The Company uses these non-GAAP financial measures, in addition to U.S. GAAP financial measures, to evaluate its operating and financial performance and to compare such performance to that of prior periods and to the performance of its competitors. Additionally, the Company uses these non-GAAP financial measures in making operational and financial decisions and in the Company’s budgeting and planning process. The Company believes that providing these non-GAAP financial measures to investors helps investors evaluate the Company’s operating performance, profitability and business trends in a way that is consistent with how management evaluates such performance and consistent with guidance previously provided by the Company. Adjusted gross profit, adjusted G&A, adjusted operating income, adjusted net income, adjusted EPS, adjusted EBITDA, and free cash flow should not be considered in isolation of, or as alternatives to or more meaningful indicators of, the Company's operating performance or liquidity than gross profit, G&A, operating income, net income, EPS, or net cash provided by (used in) operating activities, as determined in accordance with U.S. GAAP. In addition, the Company's calculation of these non-GAAP measures may not be comparable to similarly titled measures presented by other companies.
For reconciliations of these non-GAAP financial measures to the most directly comparable U.S. GAAP financial measures, see the accompanying tables to this release.
The summary consolidated financial statements presented below reflect a combination of certain line items from our consolidated financial statements and should be read in conjunction with the financial statements and notes set forth in our Annual Report on Form 10-K and quarterly filings with the SEC.
