LUND, Sweden, April 11, 2002 (PRIMEZONE) -- At the Annual General Meeting of Wilhelm Sonesson on April 24, 2002, the following proposals will be made, with the support of shareholders representing approximately 53 percent of the total number of votes and approximately 42 percent of the capital.
Item 12: Determination of number of board members and deputy members
It is proposed that eight (8) members be elected and no deputy members.
Item 13: Determination of fees for the Board and auditors
It is proposed that the combined fee for the Board be in the amount of SEK 450,000 for the period extending until the next Annual General Meeting. This is to be distributed among the members not employed by the Company, in accordance with a decision by the Board. It is proposed that the auditors' fees be paid in accordance with approved invoices.
Item 14: Election of board members
First-time election of Ake Fredriksson, Lars Lindegren and Ewa Stalldal. It is proposed that Bo Hakansson, Greg Dingizian, Erik Gabrielson, Jorgen Johnsson and Conny Karlsson be re-elected. Rolf Bjerndell, Hans Kallenius, Lennart Molvin and Sven Sandberg have declined re-election.
Ake Fredriksson, civil engineer, born in 1948, previously President and CEO of Perstorp AB, member of the Board of IFS AB (publ).
Lars Lindegren, born in 1937, previously held senior executive positions within Pharmacia and Astra. Chairman of the Board of Metcon Medicin AB and member of the Boards of Tripep AB (publ) and PhotoCure ASA.
Ewa Stalldal, born in 1949, President of the Vardal foundation, which funds research and research training within the field of healthcare and allergies. She has previously worked as an advisor on medical training and research issues at the Swedish Ministry of Education and Science during a number of administrations and was the Director of Research and Graduate Studies at the Karolinska Institutet university hospital in Stockholm.
The Annual General Meeting will be held on April 24, 2002, at 5:00 p.m., at Malmo Borshus (the Malmo stock exchange building).
