ESPOO, Finland, Dec. 19, 2002 (PRIMEZONE) -- In 2000 TietoEnator Corporation (Other OTC:TTNTF) (Stockholm:TIEN) offered a bond loan for subscription to the personnel, management and to the subsidiary of TietoEnator. The Bonds with Warrants for personnel was subscribed by 6,264 employees. The Bonds with Warrants for management was subscribed by 159 managers and by the subsidiary of the Company.
Each personnel bond with a nominal value of EUR 150 or SEK 1,350 carries 395 warrants. Each management bond with a nominal value of EUR 100 carries 100 warrants. Each warrant will entitle its holder to subscribe for one (1) TietoEnator share. The subscription price of the share is EUR 54.50. The number of shares of the Company may as a consequence of the subscriptions increase by a maximum of 3,700,000 new shares.
The shares can be subscribed during the period from May 2, 2003 to May 31, 2006. Of the warrants offered to the management and the subsidiary, 1/4 will be marked with the letter A, 1/4 with the letter B, 1/4 with the letter C and 1/4 with the letter D. The subscription periods for shares based on these warrants begins:
- on May 2, 2003 for warrant A; - on October 24, 2003 for warrant B; - in 2004 for warrant C after the issuing of the interim report of the first quarter; and - in 2004 for warrant D after the issuing of the interim report of the third quarter.
The subscription period with all warrants will end May 31, 2006.
The Board of Directors of TietoEnator Corporation has decided that the share subscription places shall be PCA Corporate Finance Oy, Etelaranta 12, 00130 Helsinki, Finland for warrants booked in the Finnish securities systems and Svenska Handelsbanken AB (publ), SE 106 70 Stockholm, Sweden for warrants booked in the Swedish securities system.
Instructions for the share subscription both in the Finnish and Swedish securities systems will be given prior to the commencement of the subscription period.
The Board of Directors has decided to seek listing for:
- the warrants related to the personnel programme and warrants A related to the management programme, together as one main class to be named for TietoEnator Warrants 2000, as of May 2, 2003 and - the warrants B, C, D related to the management programme as an additional lots of the main class TietoEnator Warrants 2000 in connection with the beginning of the respective share subscription period as well as - the additional lots of shares subscribed by TietoEnator Warrants 2000 on the main list of HEX and on Stockholmsborsen. It was decided that the shares subscribed by the warrants will not be listed separately.
