Decisions of EGM
At today's Extraordinary General Meeting of Shareholders decisions were taken, in accordance with the proposals of the Board of Directors, regarding:
-- the issuance of not more than 62,239,051 new B-shares in WM-data to the shareholders in Novo Group Oyj as part of the tender offer consideration, and
-- authorization to the Board of Directors to decide on the issuance of new B-shares in WM-data in the event of an extension of the offer period or in connection with the possible mandatory redemption proceedings under Finnish law.
As a result of the above mentioned measures in total 64,186,666 WM-data shares of series B may be issued. The resolutions of the Extraordinary General Meeting are conditional upon WM-data completing the tender offer.
The acceptance period for the shareholders of Novo Group runs through December 22, 2003. Preliminary result of the offer is expected to be announced on December 23, 2003.
Competition approvals
WM-data has further obtained all necessary approvals from applicable competition authorities in relation to the Combination between WM-data and Novo Group.
