Please note that the largest shareholder of Mosaic Fashions hf is F-Capital
ehf, a wholly owned subsidiary of Baugur Group hf. The shares held by F-Capital
ehf were previously held by BG Holding ehf, which also is a wholly owned
subsidiary of Baugur Group ehf. The transfer came about as a result of a
division of BG Holding into two companies, BG Holding ehf and F-Capital ehf. 
 
For reasons applicable entirely to BG Holding, it was decided to spin the
Mosaic Fashions holdings off into a new company, F-Capital ehf. Both companies,
BG Holding and F-Capital, remain wholly owned by Baugur  Group hf and as this 
came about as s a result of a division, no consideration was paid upon the
transfer . Consequently the transfer does not constitute a transaction within
the meaning of the Act on Securities Transactions .
