Intermediate Capital Group Plc - Transactions in Own Shares

Intermediate Capital Group Plc announces that on 25 March 2015, in accordance with prior approvals from shareholders, it purchased from JP Morgan Securities PLC 241,000 ordinary shares at an average price of 492.9209 pence per share. The purchased shares will be held as treasury shares. Following the above purchase, Intermediate Capital Group Plc holds 21,586,197 ordinary shares in treasury, and has 381,214,687 ordinary shares in issue (excluding treasury shares).

Therefore the figure of 381,214,687 may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in the Company, under the Disclosure and Transparency Rules.
