Adjustment of the Exchange Ratio of the Bonds
Paris May 13, 2015: The Executive board of EURAZEO, following the authorization given by the shareholders general meeting on May 7, 2014, decided on April 21, 2015, to increase the company's share capital by 10 546 678 euros, by incorporating a sum of the same amount from the reserves and a bonus issue of 3 457 927 fully paid shares at a rate of 1 new share per 20 existing shares held, starting on May 13, 2015.
Words with a capital letter have the meanings given to them in the Terms and Conditions of the Bonds.
As a result, as of May 13, 2015, the Exchange Ratio of the Bonds calculated as set forth by clause 16 (b) (2) of the Terms and Conditions of the Bonds is 1.102 Eurazeo Share for one Bond.

Ajustement du ratio d'échange des Obligations
Paris le 13 mai 2015 : Le directoire de la société EURAZEO faisant usage des pouvoirs qui lui ont été conférés lors de l'Assemblée Générale Mixte des actionnaires du 7 mai 2014 a décidé le 21 avril 2015 d'augmenter le capital social d'un montant de 10 546 678 euros, par incorporation d'une somme de même montant prélevée sur les réserves et attribution gratuite aux actionnaires le 13 mai 2015 de 3.457 927 actions entièrement libérées, à raison de 1 action nouvelle pour 20 actions existantes détenues.
En conséquence, à compter du 13 mai 2015, le Ratio d'Echange des Obligations calculé par application de la clause 16 (b) (2) des modalités des Obligations est de 1,102 action Eurazeo pour une Obligation.
