(the “Company” or “Rally”), a leading technology company for mass mobility in the United States doing business under the “Rally” and “OurBus” brands and Americas Technology Acquisition Corp., a special purpose acquisition company (“ATA”) (NYSE: ATA, ATA.WS, ATA.U), today announced the filing on July 28, 2022 by Americas Technology Acquisition Holdings Inc. (“Pubco”) of a registration statement on Form S-4 (the “Registration Statement”), with the U.S. Securities and Exchange Commission (“SEC”) in connection with the proposed business combination between Rally and ATA (the “Business Combination”).
The Registration Statement contains a preliminary prospectus of Pubco relating to the issuance of shares of Pubco common stock and Contingent Value Rights in connection with the proposed Business Combination and a preliminary proxy statement of ATA to be used at a special meeting of ATA’s shareholders to approve, among other items, the Business Combination.
