STOCKHOLM, Sweden, Feb. 18, 2002 (PRIMEZONE) -- Hans Mellstrom, Deputy Chairman of The Board of WM-data AB, has sold 10,000,000 A shares to Investor AB and Thord Wilkne, Chairman of The Board of WM-data AB, has sold 5,000,000 A shares to Investor AB.
Thord Wilkne's holding in WM-data after the transaction will be: 15,000,000 A shares and 20,000,000 B shares, corresponding to 9.5 % of the share capital and 23.3 % of the voting rights.
Hans Mellstrom's holding in WM-data after the transaction will be: 10,000,000 A shares and 1,000,000 B shares, corresponding to 3.0 % of the share capital and 13.9 % of the voting rights.
Hans Mellstrom has also informed the Board of WM-data AB that he wishes to convert his 10,000,000 A shares to B shares. After the conversion there will be a total of 30,000,000 A shares, of which Thord Wilkne and Investor hold 15,000,000 each, and 338,770,175 B shares in WM-data AB.
After the conversion Hans Mellstrom's percentage of voting rights will be 1.7 % and Thord Wilkne's 26.6 %. Percentages of share capital remain unchanged.
The agreement between Hans Mellstrom and Thord Wilkne covering rights of disposal of A shares has been terminated and is being replaced with a corresponding agreement between Investor and Thord Wilkne. The agreement covers restrictions to sell A shares before the end of 2003 and a right of first refusal between the parties regarding sales of A shares.
