STOCKHOLM, Sweden, April 16, 2002 (PRIMEZONE) -- Bulletin from Investor's Annual General Meeting of April 16, 2002
The Annual General Meeting approved the proposed ordinary dividend to shareholders of 3.00 kronor per share, as well as the extraordinary dividend of 2.50 kronor per share, for a total dividend of 5.50 kronor per share. The record date was determined as Friday, April 19, 2002. The dividend is scheduled to be distributed by VPC AB (the Swedish Securities Register Center) on Wednesday, April 24, 2002.
The Meeting discharged the members of the Board and the President from liability for fiscal year 2001.
Current board members Claes Dahlback, Hakan Mogren, Koichi Nishimura, Anders Scharp, Peter D. Sutherland, Bjorn Svedberg, Jacob Wallenberg and Marcus Wallenberg were re-elected. Sune Carlsson was elected a new member of the Board.
Sune Carlsson, born 1941, is President and Chief Executive Officer of AB SKF. Sune Carlsson was an employee of ASEA for 23 years until 1988 when he joined ABB, after the merger between ASEA and Brown Boveri, as Executive Vice President and a member of the Group Executive Committee. He became President and Chief Executive Officer of AB SKF in 1998. The Meeting authorized the Board to decide on the purchase and transfer of own shares in line with the Board's proposal.
At a statutory Board meeting in conjunction with the Annual General Meeting, Claes Dahlback was elected Chairman of the Board. Jacob Wallenberg was elected Vice Chairman. Claes Dahlback, Anders Scharp and Peter D. Sutherland were elected to the Remuneration Committee. Claes Dahlback, Bjorn Svedberg and Sune Carlsson were elected to the Audit Committee.
