MALMO, Sweden, May 6, 2003 (PRIMEZONE) -- Teleca's Annual General Meeting on May 6, 2003 adopted the parent company's and the group's accounts. It further discharged the Board of Directors and the CEO from liability. The CEO, Nick Stammers, commented on the group's operations and the interim report, which was distributed earlier during the day.
Dividend
The Annual General Meeting voted to approve the Board's proposed dividend of SEK 0.75 per share. The record date will be Friday May 9, 2003. The dividend is expected to be paid from the Swedish Securities Register Center (VPC) on May 14, 2003.
Board of Directors
Dan Olofsson, Konstantin Caliacmanis, Bengt Halse, Goran Larsson, Gunder Lilius, Peter Sandberg and Johan Vunderink were re-elected to the Board of Directors. Borje Bengtsson, responsible for IT Solutions & Services at Bure Equity AB, was newly elected to the Board. The board fee was fixed at SEK 700,000, to be distributed among the Board members.
Authorisation of the Board to resolve on new issues of shares
The Board was authorised to resolve on new issues of up to a total of 4,500,000 Series B shares and to deviate from the shareholders' pre- emptive rights. The purpose of the authorisation is to facilitate the financing of acquisitions.
