STOCKHOLM, Nov. 5, 2003 (PRIMEZONE) -- At an extraordinary shareholders' meeting in Cyber Com Consulting Group Scandinavia AB (publ) ("the Company") on 5 November 2003, it was resolved to issue one promissory note with a nominal value of SEK two hundred (200) together with not more than 200,000 detachable stock options. The term of each stock option will be 16 January 2004 - 16 January 2007. Each stock option shall entitle to subscribe for one (1) new share in the Company at any time from 16 August 2006 - 16 January 2007 at a price of SEK 33, this is 140 per cent of the Company's average stock-exchange quotation for the period 28 October 2003 - 4 November 2003. Right to subscribe for the promissory note with detachable stock options shall, with deviation from the shareholders' preferential rights, only fall upon the Company's wholly owned subsidiary Cyber Com Consulting Uppsala AB. The subsidiary shall transfer the stock options to people who are still employed by the Company's wholly owned subsidiary in England, Stratum ltd, and possible future subsidiaries in England. If all stock options were exercised for subscription for shares, it would lead to a mathematical dilution of slightly more than 2 % of the outstanding shares.
