COSTA MESA, Calif., Dec. 8, 2003 (PRIMEZONE) -- Emulex Corporation (NYSE:ELX) announced today that it intends to offer $450 million aggregate principal amount of convertible subordinated notes due 2023 in a private placement, subject to market and other conditions. The Company also expects to grant the initial purchasers of the notes a 30-day option to purchase up to an additional $67.5 million principal amount of the notes. Under the terms of the proposed offering, the notes will be convertible, at the option of the holder and subject to the satisfaction of certain conditions, into shares of Emulex common stock at a price to be determined.
The Company intends to use the net proceeds from the sale of the notes (i) to repurchase up to 1.5 million shares of the Company's common stock concurrently with the offering, (ii) to repurchase all or a portion of the Company's outstanding 1.75% convertible notes due 2007, depending on market conditions at the time, and (iii) for working capital and general corporate purposes which may include potential acquisitions. The Company currently has no understandings or agreements with respect to any potential acquisitions.
