STOCKHOLM, Sweden, March 16, 2004 (PRIMEZONE) -- At the Annual General Meeting, to be held March 24, 2004, the following proposal presented by the nominating committee will be submitted for election of the members of the Board of Directors, the number of directors and compensation to the Board of Directors.
Number of directors Seven directors and no deputies.
Compensation to the Board of Directors The fee proposed to the Chairman of the Board is SEK 325,000.
The fee proposed to individual board members is SEK 135,000.
Election of the Members of the Board of Directors Kjell Nilsson is proposed as Chairman of the Board.
Re-election of Martha Josefsson, Lars Gronberg, Raj Raithatha and Tomas Franzen as members of the Board.
Election of Bo Wahlstrom, born 1949, Chairman of the Board of Metroland BV.
Election of Martin Svalstedt, born 1963, managing director of Stena Adactum AB and board member of Ballingslov Int. and Gunnebo AB.
Chairman of the Board Roger Holtback has declined re-election due to extensive work required by other assignments and commitments.
Shareholders who jointly represent more than 10 percent of the voting rights for all shares in the company have declared their intention to vote for the proposal.
