Dear Shareholders,

Rx Processing Corp. is focused on improving its fundamentals over the next fiscal year. In 2004, we have achieved the following results; Acquired Canada Drugs of Spring Hill, secured major contracts (Liberty Benefits / Lab Pass Solutions), expanded the Sales and Marketing Team, implemented a new IT infrastructure, serviced over 50,000 clients network-wide, expanded the number of company and Affiliate owned storefronts to 130, contracted with independent American pharmacies, reduced our clients' costs of American generic drugs and began branding Rx Processing Corp. nationally. These accomplishments were achieved due to the persistence and focus of you, our dedicated employees, management and shareholders.

As CEO, I have led the Company in a competitive industry and have often had to make difficult decisions in order to continue positioning Rx Processing as a beacon of hope for the millions of U.S. Citizens without access to safe and affordable prescription drugs. On the challenging road ahead, our leadership is tasked with fulfilling the needs of our clients, abiding by and working with government and industry officials to ensure continued access to safe, affordable prescription drugs. The Company has adopted the acronym "ACES" to guide our leaders on the road ahead.

A: 'Assurance' Providing assurance to the public that we are an ethically motivated corporation

C: 'Compliance' Maintaining full regulatory governmental compliance with all issues

E: 'Efficacy' Facilitating the distribution of effective name brand and generic drugs

S: 'Safety' Our lone mission is to assure the distribution of proven safe Government approved medications

In 2005, Rx Processing Corp's goals are expansion to 50 company owned storefronts, the servicing of an additional 100,000 new clients and listing the company on the American Stock Exchange.

To all employees, management, shareholders, and clients, I thank you for the opportunity to lead Rx Processing Corp. and assure you that we will continue down the path of success into 2005.

Sincerely,

Peter Fiorillo

CEO
