At the Extra Shareholders' Meeting the 20th of December was the following decided:
The decision regarding authorizations for the board of directors to make decisions concerning the acquisition and transfer of own shares The Shareholders' Meeting authorized the Board of Directors to, on one or more occasions, make decisions with respect to the acquisition and transfer of own shares in accordance with the following.
1. Acquisition and transfer may only take place via the Stockholm Stock Exchange. 2. The Authorization may be utilized up until the next Annual General Meeting. 3. A maximum of 1,739,000 shares with a nominal value of SEK 1 may be purchased, and transfers may apply to a maximum of the total own shares held by the company at the time of the decision. 4. Acquisitions and transfers on the Stockholm Stock Exchange may only take place at a price within the registered price interval of the Stockholm Stock Exchange on each occasion, which is considered to be the interval between the highest purchase price and the lowest selling price.
The purpose of the authorizations are to:
- Support a more effective capital structure within the company, which is judged to have a positive affect on the development of the price of the company's shares and, in doing so, contribute to creating the largest possible return for shareholders. - Consecutively adapt the company's capital structure to the company's capital requirement from time to time and to therewith contribute to an increased share value. - Offer the board of directors the possibility to attain a cost effective value guarantee against the financial exposure that could arise in connection with an incentive program. Such incentive program shall be brought before the Shareholders' meeting for decision.
At the extra Shareholders' meeting it was announced that the current members of Semcon's nomination committee are Christian W. Jansson, Semcon AB's Chairman of the Board, Erik Sjostrom from Skandia Liv and K.G. Lindvall from Robur.
