Under the original Share Exchange Agreement where UATH acquired S2C as its wholly owned subsidiary, the beneficial shareholders of S2C were entitled to one hundred million (100,000,000) common shares. In order to create a more realistic market capitalization for the company, the beneficial shareholders agreed unanimously to reduce their share allotment from 13:1 to 2:1. As a result upon the completion of the share exchange transaction and resulting cancellation, the issued and outstanding shares of S2C Global are thirty-three million, two hundred and forty three thousand, two hundred and forty-six (33,243,246).
