Total voting rights and shares in issue

The Company's issued ordinary share capital at 31 August 2007 comprised
5,507,422,598 ordinary shares of 10p each.  

African life subsidiaries of the Company held a total of 291,337,559 ordinary
shares in the Company in their policyholders' funds and these shares cannot be
voted while they are held by subsidiaries of Old Mutual plc because of
applicable provisions of UK company law.  

However, for the purposes of disclosure in accordance with Rule 5.6.1R of the
Disclosure and Transparency Rules, clarification has now been received that
these shares should be included in the total voting rights for the purposes of
calculating disclosable interests. Therefore the total number of voting rights
in the Company's ordinary share capital is 5,507,422,598.
