Bulletin from the Extraordinary General Meeting of Gunnebo AB (publ) held on
November 24, 2009

At the Extraordinary General Meeting held on November 24, 2009 it was resolved
to approve the Board's resolution of 22 October 2009 on a rights issue with
preferential rights for existing shareholders. As part of the implementation of
the rights issue the general meeting further resolved to amend the Articles of
Association.

The Extraordinary General Meeting resolved to approve the Board's resolution on
the rights issue, through which the share capital can be increased with an
amount of not more than SEK 151 711 190. According to the terms of the rights
issue, the shareholders in Gunnebo have preferential rights to subscribe for two
new shares in Gunnebo per existing three shares.

The subscription price is SEK 16.50 per share, which means that the rights issue
will raise a maximum of approximately MSEK 501, before issue costs. As part of
the implementation of the rights issue, the general meeting also resolved to
amend the Articles of Association in respect of the limits of the share capital
as well as the limits regarding the number of shares.

The record date at the Swedish Central Securities Depository, Euroclear Sweden
AB, for participation in the rights issue with preferential rights is November
27, 2009. This means that the Gunnebo share will trade excluding preferential
rights to participate in the rights issue from November 25, 2009. The
subscription period will run from and including December 2 up to and including
December 16, 2009 or such later date as decided by the Board. For shareholders
who refrain from subscribing for shares in the rights issue, there will be a
dilution effect of a total of 30,342,238 new shares, corresponding to 40 percent
of the share capital in Gunnebo after the rights issue. However, such
shareholders can gain economic compensation for this dilution by selling their
subscription rights.
