The shareholders of BoConcept Holding A/S held their annual general meeting on this date. Agenda items 1 to 4 were considered and approved in accordance with the material submitted. No dividend will be distributed for the 2009/2010 financial year. Under the heading of supervisory board elections, agenda item 5, Rolf Eriksen, born 1944, held the position of marketing manager with Anva in the period from 1966 to 1984, the position of country manager with H&M, Denmark/Sweden, from 1985 to 2000, and the position of president and chief executive officer with H&M in the period from 2000 to 2009, was elected to the supervisory board as a new member. All other members of the supervisory board elected by the shareholders in general meeting were re-elected. PricewaterhouseCoopers Statsautoriseret Revisionsaktieselskab were re-appointed auditors of the company as proposed under agenda item 6. The shareholders approved all the various amendments to the articles of association arising out of the new Danish Companies Act and proposed in agenda item 7. Agenda items 7.2, 7.3 and 7.7 concerning incentive remuneration in the form of 200,000 grants of subscription rights issued to B shares at a favourable price to members of the supervisory and executive boards and other executives, provided that the company's strategic plan for the 2012/2013 is realised, was considered and approved by the shareholders. Further, the supervisory board was authorised to increase the share capital by subsequent use of the subscription rights to issue B shares. Following the general meeting, the supervisory board held its first meeting, and Ebbe Pelle Jacobsen was elected chairman of the supervisory board.
