B2 Digital, Inc. Clarifies Plans to Issue Stock Dividend of B2 Digital Shares to Its Shareholders


MESA, Ariz., Nov. 15, 2010 (GLOBE NEWSWIRE) -- B2 Digital, Inc. (Pink Sheets:BTDG) is pleased to announce that at a meeting of the Company's Board of Directors held on October 25, 2010, the directors of B2 Digital, Inc. approved a 10% stock dividend on our Common Stock.

B2 Digital, Inc. has filed the Issuer Company-Related Action Notification Form with FINRA in compliance with Rule 6490 and SEA Rule 10b-17.

All Shareholders at the close of trading on November 5, 2010 will be issued ten additional shares of B2 Digital, Inc. Common Stock for each one hundred shares of Common Stock held on the November 5, 2010 record date. Shareholders who hold free trading shares will be issued their dividend in free trading shares. All shareholders who hold restricted states will be issued their dividend in restricted shares. Shareholders who hold less than 100 shares will not participate in the dividend. Shares in non-round lots of 100 will be dropped for the calculation of the dividend. 

The Board resolution is as follows:

WHEREAS, the Company will issue shares of common stock at Ten (10) shares per One-Hundred (100) shares as held by the shareholders on the date of record to be November 5, 2010. The payable date shall be November 12, 2010, and only shareholders with One-Hundred (100) are more will be eligible for this stock dividend.
