Route1 Announces Annual and Special Meeting Results

TORONTO, ONTARIO--(Marketwired - Nov. 25, 2014) - Route1 Inc. (TSX VENTURE:ROI) (the "Company"), a leading provider of secure access technologies for the mobile workspace that protects businesses and government agencies, and whose customers include the U.S. Department of Defense, the Department of Homeland Security, the Department of Energy and the Government of Canada, today announced that it received approval for all proposals submitted to shareholders at the Company's annual and special meeting of shareholders (the "Meeting"), which was held on November 25, 2014 in Toronto, Ontario.

The matters voted on and approved are as follows:

1. Mark S. Boensel, Tony P. Busseri, Louis De Jong, Michael F. Doolan, David Fraser and Michael D. Harris were elected as the Company's Directors. Following the Meeting, the Board of Directors met and appointed Peter F. Chodos to the Board and selected Mr. Harris to continue to serve as the Company's Chairman of the Board;
2. Collins Barrow LLP, Chartered Accountants were appointed as the Company's auditors in respect of the year ending December 31, 2014;
3. The Company's stock option plan was voted on and reapproved;
4. The Company's shareholder rights plan was voted on and reapproved with certain amendments thereto; and
5. Finally, the resolution authorizing the consolidation of common shares in the capital of Route1 Inc., on the basis of up to 20 pre-consolidation common shares for every 1 post-consolidation common share, at the discretion of the Board of Directors of Route1 Inc. was approved.

With the exception of Item 4, each of the five matters that was voted on at the Meeting received greater than 94% approval of the votes cast at the Meeting. Item 4 received 51.8% approval of the votes cast at the Meeting. A total of approximately 122 million shares were voted at the Meeting.
