CSX Corporation Announces Redemption of Zero Coupon Convertible Debentures due October 30, 2021


JACKSONVILLE, Fla., July 26, 2016 (GLOBE NEWSWIRE) -- CSX Corporation (Nasdaq:CSX) today has given notice of its intention to redeem all of its outstanding Zero Coupon Convertible Debentures due October 30, 2021 (CUSIP 126408 GA 5) (the “Debentures”) on August 26, 2016. As of June 30, 2016, there was approximately $863,000 aggregate principal amount at maturity of the Debentures outstanding. The Debentures will be redeemed at a redemption price of $992 per $1,000 principal amount at maturity, which is the accreted value of the Debentures to be redeemed up to, but excluding, the redemption date.

The Debentures are convertible at any time prior to the close of business on August 25, 2016 at a rate of 106.4766 shares of CSX common stock per Debenture. The Debentures surrendered for conversion will be settled in stock plus cash in lieu of fractions in accordance with the provisions of the Debentures.

A Notice of Redemption is being distributed to holders of the Debentures through the Depository Trust Company.
