Warns Shareholders to Ignore Earlier and Illusory Consent Cutoff Set by Velan
Urges Shareholders to Review the S-4 Filing that Will be Made the Week of November 11 about the Value Maximizing Lantheus Transaction in Order to Make a Fully Informed Final Decision about the Consent Solicitation and Future of Progenics
Shareholders Can Validly Submit Votes with Their Custodian Banks or Brokers until the November 17 Deadline
Reminds Shareholders to Sign and Return Progenics’ WHITE Consent Revocation Card
NEW YORK, Nov. 06, 2019 (GLOBE NEWSWIRE) -- Progenics Pharmaceuticals, Inc. (NASDAQ:PGNX) (“Progenics” or the “Company”), an oncology company developing innovative targeted medicines and artificial intelligence to find, fight and follow cancer, today issued the following statement clarifying November 17, 2019 as the true deadline for Velan Capital L.P.’s (“Velan”) consent solicitation.
The true deadline for the Velan consent solicitation is November 17, 2019, not the November 8, 2019 “goal¹” arbitrarily set by Velan to try and force shareholders to vote without complete information. Velan’s effort to rush to obtain consents is a clear attempt to disenfranchise shareholders.
Importantly, Lantheus Holdings Inc. (“Lantheus”) expects to file with the SEC a preliminary S-4 with detailed information about the compelling transaction with Progenics before November 17. Included in the S-4 will be valuable details regarding the benefits of the transaction as well as the process undertaken by the Board—details that are necessary for shareholders to make a fully informed decision. Progenics strongly urges shareholders to wait until they have full information regarding the Lantheus transaction before making any final decisions regarding the Velan consent solicitation.
Shareholders will be able to obtain free copies of the preliminary S-4, and any amendments or supplements to the S-4 filing by accessing Lantheus’ filings with the SEC through the website maintained by the SEC at https://www.sec.gov.
While Broadridge Financial Solutions, Inc. is accepting consents and consent revocation cards up until November 8 due to Velan’s arbitrary deadline, shareholders can vote directly with their custodian bank or broker anytime up through the true consent deadline of November 17, regardless of how they have voted in the past. Progenics has also engaged an independent inspector of elections, in accordance with good governance practices, to validate the forthcoming results of the consent solicitation process. If you have any questions or require assistance, please contact Progenics’ proxy solicitor, MacKenzie Partners, Inc. toll-free at (800) 322-2885 or PGNX@mackenziepartners.com.

More information concerning Progenics and such risks and uncertainties is available on its website, and in its press releases and reports it files with the SEC, including those risk factors included in its Annual Report on Form 10-K for the year ended December 31, 2018, as updated in its subsequent Quarterly Reports on Form 10-Q.
