VSBLTY FILES FINAL PROSPECTUS IN RESPECT OF ITS MARKETED FINANCING LED BY ECHELON WEALTH PARTNERS

Philadelphia, PA, July 26, 2022 (GLOBE NEWSWIRE) -- VSBLTY Groupe Technologies Corp. (the “Company” or “VSBLTY”) (CSE: VSBY) is pleased to announce that it has filed a final short form prospectus (the “Prospectus”) in connection with its previously announced marketed public offering (the “Offering”) of units of the Company (the “Units”). The Prospectus qualifies the distribution of 16,666,700 Units at a price of $0.30 per Unit (the “Offering Price”) for aggregate gross proceeds of $5,000,010. The Offering is being conducted on a commercially reasonable “best efforts” basis in the provinces of British Columbia, Alberta, Saskatchewan and Ontario. Echelon Wealth Partners Inc. (the “Agent”) is acting as agent for the Offering.

Each Unit will consist of one common share (a “Common Share”) and one common share purchase warrant (a “Warrant”). Each Warrant will entitle the holder to purchase one Common Share at an exercise price of $0.50 for 36 months from the Closing Date (as defined herein). The Company will apply to list the Warrants on the Canadian Securities Exchange.

The Agent will have an option to offer for sale up to an additional 15% of the Units sold pursuant to the Offering on the same terms as the Offering for market stabilization purposes and to cover overallotments, exercisable in whole or in part within 30 days of the Closing Date (the “Over-Allotment Option”), for additional gross proceeds of up to $750,001.50. The Over-Allotment Option may be in the form of Units only, Common Shares only, Warrants only, or any combination thereof. 

In connection with the Offering, the Agent will receive consideration comprised of (i) a cash fee equal to 8% of the gross proceeds of the Offering, including proceeds received from the exercise of the Over-Allotment Option, (ii) common share purchase warrants (“Agent’s Warrants”) to purchase up to 8% of the number of Units sold in the Offering, including any additional Units issued upon the Agent’s exercise of the Over-Allotment Option, and (iii) a corporate finance fee of 2% of the aggregate gross proceeds of the Offering (including the Over-Allotment Option), in Common Shares, such number to be calculated by dividing the gross proceeds of the Offering by the Offering Price. Each Agent’s Warrant will entitle the holder thereof to purchase one Common Share at an exercise price of $0.30 for 36 months from the Closing Date. 

Closing of the Offering is subject to a number of conditions, including without limitation, receipt of all regulatory approvals.

In addition, the Company announces that it is undertaking, concurrent with the Offering, a non-brokered private placement of up to 13,333,333 Units at the Offering Price for gross proceeds of up to $4,000,000 (the “Concurrent Private Placement”). The securities issuable under the Concurrent Private Placement will be subject to resale restrictions, including a Canadian four-month hold period. The closing of the Offering is not conditional upon the closing of the Concurrent Private Placement, and the Concurrent Private Placement may be completed concurrent with or following the Offering.

The Company intends to use the proceeds of the Offering and the Concurrent Private Placement for sales, marketing, research and development, capital expenditures, working capital and general corporate purposes, as more particularly set out in the Prospectus.

The Offering is expected to close on or about July 28, 2022, or such other date as the Company and the Agent may agree (the "Closing Date").
