SPONDA'S OWN SHARES CANCELLED, PRIVILEGED SHARE ISSUE

Sponda Plc's share capital was reduced by cancellation of the Company's own shares on 30 March 2000. The share capital was raised by a privileged issue of new shares on 3 April 2000 in accordance with the decision of the Annual General Meeting on 27 March 2000.
