NOTIFICATION IN ACCORDANCE WITH 10 §, CHAPTER 2 OF SECURITIES MARKET ACT

The percentages of JMC Finance Oy, Teknoventure Oy, Eqvitech Partners Oy, the trusts administered by them and Jorma Terentjeff (hereinafter referred to as "Notifiers") out of the voting rights and share capital of Incap Corporation will, based on the agreement executed on 1 March 2002 and its implementation, exceed 10 % (as far as JMC Finance Oy and Jorma Terentjeff are concerned) and 5 % (as far as Teknoventure Oy and Eqvitech Oy are concerned). In accordance with 9 §, chapter 2 of Securities Market Act, the following information is provided.

1 March 2002.

3. Percentage out of Incap Corporation's voting rights and share capital

The boards of Incap Corporation and JMC Tools Oy, on 1 March 2002, approved a merger plan, whereby the business operations of the two companies will be amalgamated as stipulated in the letter of intent signed on 3 Jan. 2002. The merger will be accomplished through an exchange of shares whereby Incap undertakes to acquire the whole share capital of JMC Tools Oy from the current shareholders of JMC and will, in return, issue new shares to the shareholders of JMC. Based on the merger agreement, the share exchange rate will be determined in such a way that the shareholders of JMC Tools Oy will ultimately own appr. 70 % of the shares and voting rights of the merged company. The Notifiers, each bound by the agreement, undertake to subscribe the shares to be issued by Incap Corporation in return for the shares of JMC Tools Oy.

By virtue of 9 §, chapter 2 of Securities Market Act, we hereby make it known that the agreement, when implemented, will cause the percentages of proprietorship of Incap Corporation by the Notifiers to exceed 10 % (as far as JMC Finance and Jorma Terentjeff are concerned) and 5 % (as far as Teknoventure Oy and Eqvitech Oy are concerned) of the shares and voting rights of Incap Corporation.
