COPENHAGEN, Denmark, April 24, 2002 (PRIMEZONE) -- Today the Annual General Meeting of TDC (NYSE:TLD) approved the Company's 2001 Financial Statements, as presented in the Annual Report. In addition, the AGM adopted the proposal put forward by the Board of Directors for the distribution of net income for fiscal 2001.
Dividend of DKK 11,00 will be paid per share of a nominal value of DKK 5.
The following members of the Board of Directors were re-elected by the Gen-eral Meeting: Knud Heinesen (Chairman), Lloyd Kelley (Vice-Chairman), Larry Boyle, Niels Heering, William B. McCullough, Rick L. Moore, Drew Roy, and Erik Sprunk-Jansen. As alternates for the six Board members Thomas G. Carter (1st alternate) and Kristin Blomquist (2nd alternate) were elected.
The members of the Board of Directors elected by the employees are still: Leif Hartmann, Steen Jacobsen, Bo Stenar Larsen and Bo Magnussen.
Pricewater-houseCoopers and Ernst & Young were re-elected as state-authorized public accountants in TDC A/S.
The AGM approved an authorization to the Board of Directors - until the next Annual General Meeting - to let the company acquire own shares at a nominal value of up to 10 percent of the share capital in accordance with section 48 of the Danish Companies Act. The Board of Directors also has an authorization to issue new shares up to 10% of the nominal share capital until 22 April 2004.
The AGM did not approve the four proposals from the shareholder TeleFinans A/S.
