STOCKHOLM, Sweden, April 29, 2002 (PRIMEZONE) -- On the 26 of April, ReadSoft AB carried out an ordinary general meeting at Kongresscenter in Helsingborg. ReadSoft AB and the ReadSoft group's result and balance sheet were adopted and the board of directors and the MD were discharged from liability for the financial year 2001. The Shareholders' General meeting also decided that there would be no share dividend for the year 2001.
Other decisions taken during the meeting:
Election of board members was completed and the following people were reelected: Goran E. Larsson, Lennart Pihl, Jan Andersson and Lars Appelstal. Gundor Rentsch was elected new board member. Henrik Westfeldt retired from the board.
Suggestion for a new incentive program for staff in ReadSoft AB was accepted by the meeting. A total of no more than 675,000 stock options will be allocated without payment. The term of the stock options is from September 1, 2004 until March 30, 2005. Employees will be offered the opportunity to acquire a maximum of between 500 and 15,000 stock options, depending in part on the employee's position. The long-term holding of shares by employees is expected to stimulate increased interest in the business and the development of its earnings, to increase motivation and thus encourage the positive development of the ReadSoft Group.
The suggestion to authorize the board to decide on new issue of shares was accepted by the meeting. The board thus has the authority to, at one or several occasions, but no later than up to the Shareholders general meeting 2003, decide on a new issue of shares, no higher than 4 600 000 shares, series B. The new shares may be issued with a deviation of the shareholders' preferential rights. The board will have the authority to utilize a financial agreement with Hagstromer & Qviberg Fondkommission AB and aquire a company by issuing new shares in ReadSoft as payment.
