STOCKHOLM, Sweden, May 10, 2004 (PRIMEZONE) -- The extraordinary general meeting of Framfab held on May 10, 2004, passed the following resolution:
* Approval of the decision by the Board of Directors of April 21, 2004, to increase the share capital of the company by not more than 16,421,898.60 SEK, through the issue of not more than 328,437,972 new shares, at a par value of SEK 0.05 each.
Shareholders will have preferential right to subscribe for the new shares, whereby each five (5) shares held entitle to subscription of two (2) new shares.
The subscription price will be 0.50 kronor per share.
Subscription for new shares is made by payment from May 19 through June 9, 2004.
The record date for the rights issue will be May 14, 2004.
Shares not subscribed for with preferential right will be allocated as determined by the Board of Directors, whereby shares subscribed for without preferential right will be allocated firstly among subscribers who have exercised subscription rights in the rights issue, and secondly among parties who have guaranteed the rights issue.
Last date for trading in the Framfab share including subscription rights is May 11, 2004.
Trading in subscription rights will take place during the period May 19 - June 4, 2004 and trading with paid and subscribed shares will take place from May 19 and until the rights issue is registered.
